Terms of Service

These Terms of Service ("Terms of Service") govern the provision of services by Hover Dez ("Hover Dez", "we", "our", or "us") to a client ("Client", "you", or "your").
These terms apply to UX design, UI design, front-end development, website design, development, and other services provided by Hover Dez.
Individual projects may also be governed by a proposal, quotation, statement of work, project agreement, or other written document agreed between Hover Dez and the Client.
1. Services
Hover Dez provides professional digital design and development services, which may include:
- UX research and design
- UI design
- Website design
- Front-end development
- Responsive website development
- Interactive interfaces
- Design systems
- Prototyping
- Website maintenance
- Other services agreed with the Client
The exact scope of work will be described in the applicable proposal, quotation, statement of work, or project agreement.
2. Project Scope
The Client agrees to provide Hover Dez with sufficient information and materials required to perform the agreed services.
Unless expressly included in the project scope, services such as the following may be treated as additional work:
- Additional pages
- Additional design concepts
- Additional revisions beyond the agreed limit
- New functionality
- Additional development requirements
- Content creation
- Copywriting
- Photography
- Illustration
- Third-party integrations
- Additional research
- Major changes to an approved design
- Work resulting from changes in project requirements
Additional work may be quoted separately before commencement.
3. Client Responsibilities
The Client agrees to:
- Provide accurate project information
- Provide required content and materials in a timely manner
- Provide appropriate access credentials where required
- Provide feedback within reasonable timeframes
- Review deliverables
- Obtain necessary rights and permissions for materials supplied to Hover Dez
- Ensure that Client-provided content does not infringe third-party rights
Delays caused by missing information, approvals, content, access, or feedback may affect the project timeline.
4. Project Timeline
Estimated project timelines will be communicated in the applicable proposal or project agreement.
Timelines may change due to:
- Delayed Client feedback
- Delayed content or assets
- Changes in scope
- Additional revisions
- Third-party dependencies
- Technical issues
- Changes requested by the Client
- Circumstances outside Hover Dez's reasonable control
5. Revisions and Approvals
The number of revisions included in a project will be specified in the applicable proposal or statement of work.
Once a design, feature, or deliverable has been approved by the Client, subsequent changes may be considered additional work and may incur additional fees.
Client approval may be provided by email, project-management software, messaging platform, written confirmation, or another agreed communication method.
6. Fees and Payment
Project fees and payment schedules will be specified in the applicable proposal, quotation, invoice, or agreement.
- Payments are due according to the agreed payment schedule.
- Deposits or advance payments may be required before work begins.
- Hover Dez may pause work where an invoice remains unpaid beyond the agreed payment terms.
- Additional work may be invoiced separately.
7. Late Payments
If payment is overdue, Hover Dez may suspend work until outstanding amounts are paid.
Any resulting delay to the project timeline will not be considered a failure by Hover Dez to meet the original delivery schedule.
8. Intellectual Property
Unless otherwise agreed in writing, Hover Dez retains ownership of its pre-existing intellectual property, tools, processes, frameworks, reusable components, templates, libraries, methodologies, and know-how.
Upon receipt of full payment for the applicable project, the Client will receive the rights to the final project deliverables specifically identified as client-owned in the applicable agreement.
Third-party software, fonts, stock images, plugins, libraries, frameworks, and other third-party materials remain subject to their respective licences.
9. Source Code
Where front-end development is included in the project, source code and development files will be delivered according to the applicable project agreement.
Hover Dez retains ownership of reusable development tools, libraries, components, frameworks, code snippets, methodologies, and general-purpose development techniques that existed before or were developed independently of the Client project.
10. Third-Party Services
Projects may depend on third-party services, including:
- Hosting providers
- Domain registrars
- Content-management systems
- APIs
- Payment gateways
- Plugins
- Fonts
- Software libraries
- Cloud services
- Analytics platforms
Hover Dez is not responsible for outages, pricing changes, policy changes, security incidents, or other failures caused by third-party providers.
11. Client Materials
The Client retains ownership of materials supplied to Hover Dez, subject to any applicable third-party rights.
The Client grants Hover Dez permission to use those materials solely as reasonably necessary to provide the agreed services.
The Client represents that it has the necessary rights and permissions to provide those materials to Hover Dez.
12. Confidentiality
Both parties agree to treat confidential information received from the other party as confidential and to use such information only for legitimate purposes related to the project or business relationship.
13. Portfolio Rights
Unless otherwise agreed in writing, Hover Dez may identify the Client and display completed work created by Hover Dez in its portfolio, website, case studies, presentations, social media, and other promotional materials.
If the Client requires the project to remain confidential or wishes to restrict portfolio use, this should be agreed in writing.
14. Website and Development Warranty
Hover Dez will make reasonable efforts to ensure that deliverables conform to the agreed project requirements.
Unless otherwise specified, Hover Dez does not guarantee that a website or application will be completely free from bugs or compatible with every possible device, browser, operating system, third-party service, or future software update.
15. Maintenance and Support
Unless explicitly included in the project scope, ongoing maintenance and support are not included in the project fee.
Maintenance may include:
- Bug fixes
- Content updates
- Security updates
- Browser compatibility updates
- Dependency updates
- Hosting support
- New functionality
16. Cancellation and Termination
Either party may terminate a project in accordance with the applicable project agreement.
If a Client terminates a project after work has commenced, the Client remains responsible for payment for work completed and approved expenses incurred up to the termination date.
17. Suspension of Services
Hover Dez may suspend services where:
- Payments are overdue
- Required Client information or access has not been provided
- The Client requests unlawful work
- Continuing the project would create a material security or legal risk
- The Client materially breaches these Terms
18. Limitation of Liability
To the maximum extent permitted by applicable law, Hover Dez will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the services.
Where legally permissible, Hover Dez's total liability arising from a project will not exceed the total amount actually paid to Hover Dez by the Client for the specific services giving rise to the claim.
19. Force Majeure
Hover Dez will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, internet or infrastructure failures, cyber incidents, government actions, strikes, widespread service outages, or failures of third-party service providers.
20. Client Content and Legal Compliance
The Client is responsible for ensuring that its content, products, services, claims, data, and business practices comply with applicable laws and regulations.
Hover Dez is not responsible for determining whether Client-provided content complies with laws applicable to the Client's business.
21. Disputes
The parties will attempt to resolve project disputes through good-faith communication before pursuing formal legal proceedings.
If a dispute cannot be resolved amicably, it will be governed by the applicable laws and jurisdiction specified in the relevant project agreement.
Where no project-specific jurisdiction has been agreed, these Terms will be governed by the laws of India, subject to applicable law.
22. Changes to These Terms
Hover Dez may update these Terms of Service from time to time.
The version applicable to a particular project will generally be the version agreed upon when the project begins, unless the parties subsequently agree otherwise in writing.
